Bank Merger: There is a big update for bank customers. A significant development has taken place in the banking sector with the news of the merger between RBL Bank and Emirates NBD Bank. The Reserve Bank of India (RBI) approved the merger of three Emirates NBD Bank branches in India into RBL Bank on October 16. The merger is set to be effective from December 1, 2026, with Emirates NBD’s branches in Mumbai, Chennai, and Gurugram transitioning to operate as branches of RBL Bank.
In June 2026, Emirates NBD acquired a 60% stake in RBL Bank, investing approximately Rs 26,000 crore. This merger of the Indian branches of both banks marks the next phase of this transaction, raising questions among customers about its impact on their accounts and banking services. Here are five key points to consider regarding this merger:
RBI Approval and Effective Date:
The RBI approved the merger under Section 44A(4) of the Banking Regulation Act, 1949, setting December 1, 2026, as the date when all Emirates NBD branches in India will start operating as branches of RBL Bank. This approval facilitates the merger of the Indian operations of the two banks.
Emirates NBD Investment:
Emirates NBD acquired a majority stake in RBL Bank in June 2026, investing around $2.75 billion or Rs 26,000 crore, increasing its share capital to 60%. The stake acquisition and the branch merger are distinct processes, with the stake acquisition completed in June and the branch merger set for December.
Emirates NBD’s three branches in India, situated in Mumbai, Chennai, and Gurugram, will be merged with RBL Bank. The Competition Commission of India (CCI) shared details of this merger on January 20, 2026. Following RBI’s approval, these branches will become part of RBL Bank from December 1.
Foreign Investment in Indian Banking:
This merger represents a significant foreign direct investment (FDI) and one of the largest equity fundraising deals in the Indian banking sector. The investment will offer RBL Bank additional capital for expansion, enabling Emirates NBD to strengthen its presence in the Indian banking sector through combined expertise.
The merger process required approvals from various regulatory bodies. The CCI approved the combination in January 2026, and RBL Bank confirmed all necessary approvals by May 15, 2026. Following Emirates NBD’s investment in June, the final green signal came from the RBI on October 16, marking a crucial milestone in the merger process.
